Advertising Terms and Conditions

These Advertising Terms and Conditions ("Agreement") govern the purchase, placement, submission, distribution, display, and use of advertising services offered by TrellisSearch ("TrellisSearch," "Company," "we," "our," or "us").

By purchasing, submitting, publishing, distributing, displaying, or otherwise participating in any advertising program, sponsored listing, promotional placement, banner campaign, directory enhancement, or paid content placement through TrellisSearch, the advertiser ("Advertiser," "you," or "your") agrees to be legally bound by this Agreement.

If you do not agree to these terms, you may not use TrellisSearch advertising services.

1. Definitions

For purposes of this Agreement:

"Advertising Services" means any paid promotional product or service offered by TrellisSearch, including but not limited to: sponsored search listings, banner advertisements, featured business listings, directory enhancements, paid placement services, search result promotions, marketplace promotions, native advertisements, promotional content distribution, email advertising, display advertising, video advertisements, mobile advertisements, affiliate advertising, and API-delivered advertisements.

"Sponsored Listing" means any paid listing, result, or placement displayed within search results or directory listings.

"Content" means all advertisements, text, graphics, videos, images, audio, software, metadata, code, landing pages, keywords, trademarks, links, and promotional materials submitted by Advertiser.

"Invalid Traffic" means fraudulent, artificial, manipulated, incentivized, automated, deceptive, or otherwise non-genuine impressions, clicks, visits, engagements, or conversions.

"Platform" means the TrellisSearch website, applications, APIs, crawler systems, indexing systems, mobile platforms, and related services.

2. Eligibility

Advertiser represents and warrants that they are at least 18 years of age, have full legal authority to enter this Agreement, have authority to act on behalf of any business entity represented, will comply with all applicable laws and regulations, and will provide accurate billing and account information. TrellisSearch reserves the right to require identity verification, business verification, tax documentation, licensing documentation, or other information at any time.

3. Advertising Services

TrellisSearch may offer advertising services including pay-per-click advertising, cost-per-impression advertising, flat-rate advertising, featured listings, sponsored search results, directory promotions, geographic targeting, keyword targeting, display advertising, mobile advertising, API advertising distribution, and promotional placements. Availability of services may change without notice. TrellisSearch reserves the unrestricted right to modify, discontinue, suspend, replace, or redesign any advertising service at any time.

4. Sponsored Listing Disclosure

Advertiser acknowledges that TrellisSearch may identify paid advertisements using labels including "Sponsored," "Advertisement," "Promoted," "Featured," "Paid Listing," or "Ad." TrellisSearch retains sole discretion regarding how advertising disclosures appear on the Platform. Advertiser shall not attempt to disguise advertisements as organic search results.

5. No Guarantee of Placement or Performance

TrellisSearch does not guarantee specific rankings, placement positions, traffic volumes, click-through rates, impressions, conversions, indexing frequency, revenue generation, search visibility, or business outcomes. All advertising performance may vary based on search algorithms, user behavior, market conditions, competition, technical limitations, geographic factors, SafeSearch filters, user preferences, device types, and browser compatibility. Advertising is provided on a commercially reasonable efforts basis only.

6. Search Ranking Disclaimer

TrellisSearch utilizes proprietary ranking systems, indexing systems, spam prevention systems, quality scoring systems, and algorithmic evaluation systems. Payment for advertising does not guarantee favorable treatment in organic search rankings. TrellisSearch reserves the right to separate sponsored results from organic results, penalize low-quality websites, remove manipulative websites, demote spam-related content, adjust rankings algorithmically, apply quality filters, enforce SafeSearch systems, and remove deceptive content. Advertiser shall not attempt to manipulate search rankings through deceptive practices.

7. Ad Submission Requirements

Advertiser is solely responsible for all submitted advertising content. All advertisements must be accurate, lawful, non-deceptive, comply with FTC regulations, comply with intellectual property laws, comply with consumer protection laws, comply with privacy laws, clearly represent the promoted product or service, function properly, and avoid malicious code or harmful redirects. Advertiser is solely responsible for maintaining the accuracy of advertisements after publication.

8. Prohibited Advertising Content

The following content is prohibited and may result in immediate rejection, suspension, termination, or reporting to authorities:

  • Illegal Content — Advertisements promoting illegal products, services, or activities.
  • Fraudulent or Deceptive Content — Including phishing, scam websites, impersonation, fake business claims, false testimonials, fake government affiliation, misleading pricing, deceptive subscriptions, and pyramid schemes.
  • Malware and Harmful Software — Advertisements containing or linking to malware, viruses, spyware, trojan horses, malicious scripts, harmful downloads, browser hijacking, or unauthorized redirects.
  • Adult or Sexual Content — Unless expressly authorized in writing by TrellisSearch.
  • Violent or Graphic Content — Including excessive gore or graphic violence.
  • Hate Speech or Harassment — Content promoting hatred, discrimination, violence, or harassment.
  • Dangerous Products — Including unlawful weapons, explosives, or prohibited substances.
  • Intellectual Property Violations — Advertisements infringing copyrights, trademarks, patents, publicity rights, or other intellectual property rights.
  • Misleading AI Content — Including deepfake impersonation, fraudulent AI-generated endorsements, or synthetic media intended to deceive users.
  • Political Advertising — Political advertisements may require prior written approval and additional disclosures.

9. Ad Review and Approval Rights

TrellisSearch reserves the absolute right to approve or reject advertisements, remove advertisements, suspend campaigns, restrict categories, edit formatting, modify display methods, disable keywords, restrict geographic distribution, require revisions, and investigate advertisers. TrellisSearch is not obligated to provide explanations for advertising decisions. Approval of an advertisement does not constitute endorsement or legal approval.

10. Billing and Payment Terms

Advertiser agrees to pay all applicable charges associated with advertising services, which may include pay-per-click fees, impression-based fees, subscription fees, placement fees, directory fees, promotional fees, and API usage fees. All fees are stated in U.S. Dollars unless otherwise specified. Advertiser authorizes TrellisSearch and its payment processors to charge all applicable fees using the designated payment method. Failure to maintain valid payment information may result in immediate suspension.

11. Payment Processors

TrellisSearch may utilize third-party payment processors including PayPal, Stripe, and Square. Advertiser may be subject to separate agreements imposed by payment processors. TrellisSearch is not responsible for payment processor outages, limitations, holds, reserves, or account restrictions.

12. Refund Policy

Except where required by law, advertising fees are non-refundable once advertising services have been delivered. No refunds shall be issued for dissatisfaction with performance, ranking changes, traffic fluctuations, click volume changes, algorithm updates, campaign pauses caused by policy violations, or user behavior changes. TrellisSearch may issue discretionary refunds on a case-by-case basis.

13. Chargebacks and Payment Disputes

Advertiser acknowledges that advertising services constitute digital, non-tangible, partially or fully consumed services. Initiating fraudulent or improper chargebacks after delivery of advertising services may constitute breach of this Agreement. TrellisSearch reserves the right to submit evidence including server logs, click logs, impression logs, IP records, campaign analytics, account activity, and user interactions. Unpaid balances may be referred to collections or legal action.

14. Invalid Traffic and Click Fraud

TrellisSearch reserves the right to monitor, investigate, filter, invalidate, or reverse activity deemed suspicious. Invalid Traffic may include automated clicks, bot traffic, click farms, self-clicking, competitor abuse, artificial engagement, VPN manipulation, and proxy abuse. TrellisSearch may remove fraudulent activity, adjust billing, suspend accounts, limit campaigns, refuse refunds, and reverse credits. TrellisSearch does not guarantee detection or prevention of all Invalid Traffic.

15. Advertiser Responsibilities

Advertiser is solely responsible for advertisement accuracy, landing page functionality, product legality, tax compliance, licensing compliance, consumer disclosures, customer support, shipping obligations, refund obligations, and data protection compliance. Advertiser must promptly correct inaccurate or outdated advertisements.

16. Intellectual Property

Advertiser grants TrellisSearch a worldwide, non-exclusive, royalty-free license to display, reformat, resize, cache, archive, distribute, promote, and use submitted content and trademarks solely for campaign operation. Advertiser represents and warrants ownership or authorization for all submitted content.

17. DMCA and Copyright Complaints

TrellisSearch respects intellectual property rights. Advertisements alleged to infringe copyrights or trademarks may be removed without notice. TrellisSearch reserves the right to terminate repeat infringers.

18. Privacy and Data Usage

Advertiser agrees to comply with all applicable privacy laws including FTC regulations, CAN-SPAM, TCPA, GDPR where applicable, and CCPA where applicable. Advertiser shall not collect or misuse user data unlawfully. TrellisSearch may collect analytics and performance data related to advertising campaigns.

19. FTC and Consumer Protection Compliance

Advertiser is solely responsible for ensuring compliance with all advertising laws including FTC endorsement rules, truth-in-advertising laws, consumer protection regulations, and disclosure obligations. Advertiser shall not make deceptive or misleading claims.

20. AI-Generated Content

Advertiser remains fully responsible for all AI-generated advertising content. Advertiser shall not use AI-generated content to impersonate individuals, create deceptive endorsements, mislead consumers, generate fraudulent business identities, or circumvent Platform policies. TrellisSearch reserves the right to require disclosure of synthetic or AI-generated content.

21. Suspension and Termination

TrellisSearch may suspend or terminate advertising access immediately for policy violations, fraudulent activity, payment disputes, excessive chargebacks, illegal conduct, spam activity, security threats, or reputation risks. Termination may occur without prior notice.

22. Disclaimer of Warranties

ADVERTISING SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TRELLISSEARCH DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, RELIABILITY, AND PERFORMANCE GUARANTEES.

23. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRELLISSEARCH SHALL NOT BE LIABLE FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, INDIRECT DAMAGES, CONSEQUENTIAL DAMAGES, DATA LOSS, REPUTATIONAL HARM, OR ADVERTISING INTERRUPTIONS. TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY ADVERTISER DURING THE PRECEDING THIRTY (30) DAYS.

24. Indemnification

Advertiser agrees to defend, indemnify, and hold harmless TrellisSearch and its owners, officers, employees, contractors, affiliates, successors, and agents from any claims arising from Advertiser content, policy violations, intellectual property claims, consumer disputes, regulatory investigations, fraudulent conduct, or legal violations.

25. Governing Law

This Agreement shall be governed by the laws of the State of New Mexico, without regard to conflict of law principles.

26. Venue and Jurisdiction

Any legal action arising under this Agreement shall be brought exclusively in courts located within New Mexico unless otherwise required by law.

27. Arbitration

At TrellisSearch's discretion, disputes may be resolved through binding arbitration. Class actions and collective proceedings are waived to the maximum extent permitted by law.

28. Force Majeure

TrellisSearch shall not be liable for delays or failures caused by internet outages, cyberattacks, natural disasters, government actions, infrastructure failures, labor disputes, power outages, or third-party service interruptions.

29. Modifications to Agreement

TrellisSearch may modify this Agreement at any time. Continued use of advertising services after modifications constitutes acceptance of updated terms.

30. Entire Agreement

This Agreement constitutes the entire agreement between the parties concerning advertising services and supersedes prior agreements or understandings.

31. Severability

If any provision is found unenforceable, remaining provisions shall remain in full force and effect.

32. Waiver

Failure to enforce any provision shall not constitute waiver of rights.
